The bill of lading TORG-12 is one of the key documents in trade. We're figuring out how to fill it out correctly and what mistakes to avoid in 2025.

The TORG-12 consignment note has long been an integral part of the document flow in the trade sector. This unified document serves as the basis for confirming the transfer of goods from one party to another. Despite the apparent complexity, filling out the form can be quite simple if you know the basic rules.

TORG-12 is used for the sale, internal movement, or return of goods between legal entities and individual entrepreneurs. It has an established form, approved by the State Statistics Committee of Russia, and includes a number of mandatory details: names of the parties, data on the contract, a detailed list of goods with prices, VAT and signatures of responsible persons.

It is important to understand that the invoice itself does not entitle you to deduct VAT. For this, you must also issue an invoice. These two documents are often paired.

When filling out the form, special attention should be paid to the accuracy of the information: from names to numerical values. In practice, inconsistencies in data, lack of signatures, arithmetic errors, and differences between the actual and declared quantity of goods are common errors.

In 2025, more and more companies are switching to electronic document management. TORG-12 can now be issued digitally and signed with a CAP — qualified electronic signature. Such documents have full legal force, which makes them a convenient and reliable tool for business.

The safety of invoices is also important. By law, such documents must be kept for at least five years. They can be checked by both tax authorities and internal audit or partners upon acceptance of the goods.

Companies that actively use 1C and similar solutions can automatically generate TORG-12, which significantly speeds up the process. However, it is important to remember that automation does not eliminate the need for verification and care when filling out. TORG-12 is not just a formality, but an important document confirming the movement of material assets and protecting the interests of both parties to the transaction.
